My client has multiple companies, do I need a valuation done for each of them?

It depends. HDH often works with you to try and identify synergies where cost can be saved on the valuation scope – the more synergies we can identify between the different businesses, the more efficient we can be – allowing us to move faster and at a more reasonable cost.

My client needs a business valued that is in a market you aren’t currently located; can you handle a valuation of the business?

Yes of course. We service clients all over the United States and are capable of delivering the same level of service and a local touch regardless of where your client is located.

My client owns a minority interest in a large operating company. How do you consider the lack of control elements in your valuation?

As part of our process, we study factors that impact the lack of control and lack of marketability including voting rights, inability to compel decisions such as compensation or distributions, the likelihood of a transaction in the future, the company’s dividend paying capacity and track record among other factors. All of these play a critical role in our opinion.

Asset Holding Company Valuations

My client is transferring a minority interest in a holding company that has publicly traded securities in it; do discounts still apply?

Yes; if the subject interest doesn’t have the authority to compel a sell or liquidation of portfolio holdings, then a discount for lack of marketability and lack of control is certainly relevant. HDH regularly issues appraisal reports addressing these issues meeting all IRS reporting requirements.

My client owns an LLC that has a single piece of property in it. Can you help us value a membership interest in the LLC?

Yes. We are capable of valuing the real estate and the interest in the LLC. If the interest is a minority interest, we consider discounts for lack of control and lack of marketability that are specific to the underlying property.
